THE PLACID BAY CIVIC ASSOCIATION ANNUAL MEMBERSHIP MEETING MINUTES

May 4, 2024 Meet & Greet 9 – 10 Meeting 10 – 12 

Attendees: Daniel Clark, Chairperson; Jim Rogers, Treasurer and Acting President; Mario Haggerty; Robert McCarthy; David Roberts; Rich Smail

Members present: 21   Guests present: 14

Validation that a quorum exists (10% of members)

Minutes of the 2023 Annual Meeting were approved.

  1. THE ANNUAL 2024 MEMBERSHIP MEETING WAS CALLED TO ORDER BY THE CHAIRPERSON AT 10:07 A.M.

The Chairperson made a request for volunteers, and requested that anyone wishing to become a member do so before the meeting continued.

  1. REPORTS

A report on completed projects, future projects, and future events was provided to David Roberts. Members and visitors were encouraged to volunteer their services and talents for work on future projects.

A report on Fiscal Year 2024 membership was presented by Jim Rogers.

A report on Fiscal Year 2024 rentals of the Event Venue was given by Jim Rogers.

Reports for Fiscal Year 2024 actual versus final Budget, and the Budget for Fiscal Year 2025 were presented by Jim Rogers. Mr. Rogers indicated that anyone wishing further detail of financial reports may fill out a request form.

III.              BUSINESS MEETING

BY-LAWS REVIEW and APPROVAL

A Motion was brought forward to the Membership to accept amendments to the Bylaws. The motion was seconded and passed.

ELECTIONS FOR BOARD OF DIRECTORS

The Chairperson announced six openings for the Board of Directors. A motion was put forth for three current Board members to sit on the Board: Jim Rogers, David Roberts, and Robert McCarthy. The motion was seconded and passed. The Chairperson offered members of the PBCA the opportunity to join the Board. Sam Lewis came forward, was recognized, a motion was put forth for his Board membership, was seconded and the motion was passed.

ELECTIONS FOR PRESIDENT, VICE PRESIDENT, SECRETARY, AND TREASURER

The Board, as recently elected, voted by blind ballot for one-year terms of President, Vice President, Secretary, and Treasurer. The Board voted, then announced to the membership: Robert McCarthy as President; Sam Lewis as Vice President; Jim Rogers as Treasurer; and Mario Haggerty as Secretary.

Hurray!  The 2023 Annual meeting was held on Saturday May 13, 2023 from 10am to 12:30.  35 guests and board members attended.

Three new board members were added to fill all available openings: Daniel Clark, Kreesha Sprung and Mario Haggerty.  Joseph Head was elected President; David Czako as Vice-President & Roads committee chair; Jim Rogers as Treasurer; William Stephens as Secretary; Kreesha Sprung as Assistant Secretary; Dave Roberts as  Building & Grounds committee chair.

Dave Czako gave a very definitive explanation of the road situation in Placid Bay.  Simply put all paved roads are maintained by VDOT.  All gravel roads are maintained by Westmoreland county thru annual tax paid by lot/homeowners as part of real estate taxes.  PBCA has the ability to suggest to the county how to spend those funds, but ultimate control is with the county.

Jim Rogers gave a review of current financial standing of PBCA and a projection of expenses for the rest of the calendar year.

Dave Roberts gave an overview of current & recently completed projects: Drywall work in clubhouse; Painting of Pavilion; LOVE sign @ Shed; Re-siding and painting of Shed.  Future projects include gravel for Boat Ramp Parking lot; Repair of concrete Boat Ramp; Repair of Boat Ramp Dock; Sealing all docks on Placid Bay lakes; Replace two ladders on T-Dock; Weed enforcement on dams; etc.
